The first one has an Intel chipset, while the second has a nvidia chipset. Other than that, I really don't know lol.

Vince:

I'm not super familiar with motherboards so forgive any mistakes!

The first one has the following:
4 slots for memory. with a max of 8 GB
A higher standard for memory (DDR2 1066 which is more expensive than the currently DDR2 800 which is flourishing).
No onboard video (ok since you'll probably have your own video card.

The second:
!!2 slots for memory!! with a max of 4GB
DDR2 800
Comes with onboard video GeForce 7050, & nVidia chipset. Pointless if you're getting your own card.
Not the best chipset? (might want to stick with Intel chipset)

Ah! I just noticed Nok, the motherboard you picked out has a standard of 1066 memory, while the memory you picked out was for 800. You might want to pick a different mobo.

It will run, but it won't run well. (Asynchronous communication ftl)

Only things I'm not sure about are...

1: For RAM does it need to be pairs?
2: Can I hook up my ATA hd to it?(I think so but I want to be really sure)
3: What kind of power supply?(like how much W?)
